CVS Health hires ex-American Express attorney as governance chief

Kristina Fink was previously corporate secretary and chief governance officer at the financial services firm

Kristina Fink has joined CVS Health as senior vice president, chief governance officer and corporate secretary.

She joins the firm following seven years at American Express, most recently as vice president, corporate secretary and chief governance officer. She led a team providing governance support to the American Express National Bank, its committees and global subsidiaries, and was a member of the general counsel’s organization and the company’s ESG steering committee. She had earlier held the titles of director, senior corporate governance counsel and assistant secretary, then vice president, group counsel and deputy corporate secretary earlier in her tenure.

Before American Express, Fink spent more than three years at Guardian Life, most recently as assistant corporate secretary and interim chief of staff to the general counsel. She had earlier been an attorney with law firm Clifford Chance, specializing in corporate governance advice, company periodic reports and securities offerings. Prior to that, she was an in-house securities lawyer at Bear Stearns.

In her new role with CVS Health, Fink engages with investors on governance-related matters and oversees the annual proxy statement process. She also provides legal oversight for corporate and securities matters, including SEC and NYSE compliance, in addition to providing legal support for treasury, corporate finance, compensation and benefits matters.
