The role of the director is changing in real time. Boards are no longer judged only on decisions made in formal meetings, but on the quality of their readiness, judgment and responsiveness between them. At the same time, AI tools are becoming part of how directors and executives prepare, synthesize information and frame decisions. Much of this use still happens informally, outside approved governance structures or clear visibility, making shadow AI less an exception than an emerging norm.
According to Nasdaq’s latest Global Governance Pulse report, nearly 20 percent of respondents say AI is not being discussed at board level, while only 8 percent report that their boards are using organization-approved AI tools and 46 percent are still evaluating adoption.
